Definitions
Each term listed below, as referenced in these Conditions of SMLIT Classified Ads Service (referred to herein as the "Conditions"), carries the following definitions:
- Announcement: Refers to all the elements and data (visual, textual, sound, photographs, drawings), presented by an Advertiser editorial under his sole responsibility, in order to buy, rent, or sell a product or service and broadcast on the Website and Mobile App.
- Advertiser: Any natural or legal person, a major, established anywhere in the world, who holds an account and has submitted an announcement, from it, on the Website. Every advertiser must be linked to a Personal Account to deposit funds and manage their advertisements. The first deposit made by an advertiser will automatically result in the creation of a Personal Account for them.
- Personal Account: Denotes the dedicated space that every advertiser is required to create and link from the website. It serves as a platform for disseminating, managing, and viewing their advertisements.
- SMLIT: Acronym for the company responsible for publishing and operating the Smlit Website and Mobile App. The company is registered with the Corporate Affairs Commission of Nigeria under registration number {BN-some_number}.
- Customer Service: The department where advertisers can seek additional information. They can contact this service via email by clicking the provided link on the Website and Mobile App Footer.
- SMLIT Service: The services made available to Users and Advertisers on the Website and Mobile App.
- Website: The website operated by SMLIT, accessed mainly from the URL https://smlitworld.com/, and allowing Users and Advertisers to access the Service via the Internet.
- Mobile App: The mobile App operated by SMLIT accessible from the App Store URL {Coming Soon}, and allowing Users and Advertisers to access via their mobile phones.
- User: Any visitor with access to SMLIT Service via the Website and Mobile App accessible from different media.
Subject
These Terms and Conditions Of Use establish the contractual conditions applicable to any subscription by an Advertiser connected to its Personal Account from the Website and Mobile App.
Acceptance
Any use of the Services provided by SMLIT by an Advertiser or User is a full acceptance of the current Terms.
Modification of these terms
SMLIT reserves the right to, at any time, modify all or part of the Terms and Conditions. Advertisers are advised to consult the Terms to be aware of the changes.
Data Protection and Privacy
SMLIT is committed to protecting the privacy and personal information of its users. By using our services, you consent to the collection, use, and processing of your personal data as outlined in our Privacy Policy. We collect data for the purpose of providing and improving our services, and we take appropriate measures to safeguard your information from unauthorized access or disclosure.
Termination of Service
Either party may terminate the service agreement at any time with written notice to the other party. SMLIT reserves the right to suspend or terminate your access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Intellectual Property
Ownership and Usage Rights: All content submitted by advertisers on the platform remains the intellectual property of the respective advertisers. By submitting content, advertisers grant SMLIT a worldwide, non-exclusive, royalty-free license to reproduce, adapt, modify, translate, publish, and distribute the content for the purpose of operating and promoting the platform.
Dispute Resolution
Any dispute arising out of or in connection with this agreement, including any question regarding its existence, validity, or termination, shall be resolved through arbitration administered by the relevant arbitration body in accordance with its rules.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
Responsibility
SMLIT cannot be held accountable for non-performance or improper execution due to factors such as actions by the advertiser or events of force majeure.
Limitation of Liability
In no event shall SMLIT or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the service.
Indemnification
You agree to indemnify and hold SMLIT and its affiliates, officers, agents, employees, and partners harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your use of the service or your violation of these terms.
User Conduct
You agree to use the service in accordance with all applicable laws and regulations. You shall not engage in any conduct that restricts or inhibits any other user from using or enjoying the service. Prohibited conduct includes but is not limited to harassing or abusing other users, transmitting any harmful or disruptive content, or engaging in any fraudulent or deceptive activities.
Miscellaneous
If any portion of the Terms is found to be illegal, invalid, or unenforceable for any reason, those specific provisions will be considered void, without affecting the validity of the remaining terms. The remaining provisions will continue to govern the relationship between advertisers and SMLIT.
